Alumni Business Directory Terms and Conditions

1 Business Directory

1.1 The RMIT Alumni Business Directory website platform (Business Directory) is run by Royal Melbourne Institute of Technology (ABN 49 781 030 034) (RMIT / RMIT University / we / us / our) on these terms (Terms).

1.2 An RMIT Alumnus (you / your) may request to have its business details added to Business Directory in the form of either a Business Offer (Offer) or Business Listing (Listing) by providing the required information in the Listing Request Form accessible on the RMIT website from time to time. When you submit your information to be promoted on Business Directory via the Listing Request Form, you agree to these Terms.

1.3 Listing refers to Business Directory website content providing information and contact details about an RMIT alumni owned or operated business.

1.4 Offer refers to a Listing that also provides a discount or additional benefit in the form of goods or services offered by the business for RMIT alumni to redeem.

2 Promotion

2.1 To be eligible for a Listing on Business Directory, your business must be aligned to the core values of RMIT, conduct itself in a professional manner with sound business practices, and the business must have a strong affiliation to the RMIT Alumnus (e.g. the business is founded or operated by an RMIT alumni). We will not list businesses that are affiliated with tobacco, gambling, pornography, controversial weapons are otherwise contrary to RMIT’s policies, including RMIT’s Sustainability Policy and Corporate Social Responsibility Framework. RMIT retains absolute and sole discretion over which Listings and Offers are featured on Business Directory.

2.2 When you submit a Listing request, we will contact you if more information is required to assess your business’ suitability for promotion on Business Directory. If your Listing is approved, you will be contacted to confirm the details provided before it is added to Business Directory.

2.3 Offers to be added to Business Directory must provide tangible value to RMIT alumni by representing value in the context of the products or services offered by the business. Offers must be available for redemption for a minimum of 1 month, easily accessible to a substantial RMIT alumni cohort in key locations and not be prohibitively complex to redeem. We reserve the right to determine what constitutes tangible value for each Offer.

2.4 You are responsible for determining what method is used to redeem your Offer. We will not provide you with any alumni personal information, data or service to verify RMIT alumni status upon redemption. Options for redemption may include but are not limited to the presentation of the Offer on Business Directory in person, or the use of a coupon code to be entered in an online store. We accept no responsibility for codes shared by Business Directory users to other unauthenticated parties.

2.5 We may from time to time feature various Listings for alumni by email, social media or on Business Directory itself. We do not guarantee a feature for any particular Listing.

3 Renewal

3.1 In the Listing Request Form, you can select whether your Offer has a fixed term with an expiry date or is ongoing. Fixed-term Offers will be removed upon their expiry without notice and may, at our absolute discretion, be converted to a Listing.

3.2 Expired and ongoing Offers are reviewed annually and may be renewed at RMIT’s sole and absolute discretion. You may not request an initial Offer expiry of longer than 1 year, unless permitted by RMIT. This Offer period can be extended for individual Offers at our discretion. Listings do not expire but can be removed from Business Directory by RMIT at any time for any reason, including if the information on the Listing is no longer accurate, we are unable to confirm the details required to maintain the Listing or your conduct fails to comply with these Terms.

3.3 At renewal time, we may contact you to discuss your Offer and any changes that you would like to make. Either party may choose not to renew the Offer and convert it to a Listing. If you are not able to be contacted, your Offer will not be converted to a Listing and will be removed from Business Directory.

4 Privacy and publicity

4.1 We will deal with all personally identifying information you provide to us in accordance with our Privacy Policy. In addition to collecting, storing & using your personal information in accordance with our Privacy Policy, we will also subscribe you to receive relevant communications from us when you submit a Listing. You can opt out of these by emailing us & asking to be removed or unsubscribed or using any applicable unsubscribe function in the communications.

4.2 By submitting a Listing for Business Directory, you consent to us using & publishing (and authorising others to use & publish) your business, name, character, likeness, image, voice or anything else that identifies you for the purposes of marketing or promoting RMIT.

5 IP

5.1 Intellectual Property (or IP) includes all unregistered rights in respect of copyright, designs, circuit layouts, trademarks, trade secrets, know-how, moral rights, confidential information, patents, inventions, discoveries & domain names.

5.2 All rights, title & interests in & to the Intellectual Property in your Listing are assigned to us when you submit your Listing for Business Directory.

5.3 You guarantee that you are an authorised representative of the listed business, and your Listing is not copied from any third party. Your Listing must not be based on, or substantially reproduce: any other entry or idea which you have previously submitted in another competition, promotion, tender process, request for funding, application, assignment, exam or other assessment process for any educational institution; or anything which you have developed in the course of your employment. Your Listing must not infringe any third-party IP rights or contain confidential information which you do not have the right to include. We may communicate, publish, display & perform any part of your Listing (including IP) in any media, for any of our purposes.

5.4 If your Listing depicts another person, you need to have their permission before you submit the Listing, & you confirm they agree to have the Listing dealt with in accordance with these Terms, including the section on Privacy above. You (and anyone appearing in your Listing) consent to any act or omission that would otherwise infringe any moral rights.

5.5 We accept no responsibility or liability where photos, images or other Listing details are downloaded from the website by any persons, & for any matters after such download. We may, in our absolute discretion, edit, modify, delete, remove or take down any part of a Listing, or decline to publish any Listing or portion of a Listing for any reason whatsoever. We will not be liable for any Listing, to the extent permitted by law.

6 Acceptable behaviour

6.1 All RMIT’s policies as well as those otherwise published on our websites apply to your conduct during promotion of the Listing or Offer on Business Directory, including your activities on relevant social media. Depending on its nature, if you engage in behaviour which is not acceptable, we may give you a warning, or remove your Listing. If the behaviour is captured by another university policy, you may also be dealt with under that policy.

6.2 We don’t tolerate behaviour which is: hurtful, offensive, discriminatory, obscene, derogatory, sexually explicit or pornographic, defamatory, bullying, trolling, illegal or violent. This includes harassment of any kind, displaying sexual images in public spaces, deliberate intimidation, stalking, following, photographing or audio/video recording without reasonable consent, sustained disruption of talks or other activities, inappropriate physical contact, & unwelcome sexual attention.

6.3 You must not use Business Directory or the Listing Submission Request to publish or send malicious content (e.g., phishing, viruses) or spam (unsolicited commercial electronic communications). You may not use any sites related to Business Directory for any unlawful purposes, fraud, or to conduct or promote illegal activities. Your Listing must not contain inappropriate, offensive or malicious material or code.

7 Liability & warranties

7.1 To the extent permitted by law, Business Directory & associated services are provided on an “as is” basis, without any warranties, express or implied. Neither we nor our affiliates make any representation about the completeness, security, reliability, quality, or availability of Business Directory. To the extent permitted by law, neither us nor our affiliates will be liable for damages of any kind (including under contract, tort or negligence), arising out of or in connection with Business Directory, including any direct, indirect, special, incidental, consequential or punitive damages (including personal injury, emotional distress, loss of revenue or profits, loss of use or goodwill, loss of data), even if such loss was foreseeable (loss). You list your business on Business Directory & engage with us, our affiliates, & other participants & attendees, at your own risk.

7.3 Nothing in these Terms restricts, excludes or modifies, or purports to restrict, exclude or modify any statutory consumer rights under any applicable law, including the Competition & Consumer Act 2010 (Cth).

7.4 If Business Directory is promoted via a social media site or third-party media channel, you acknowledge that Business Directory is not sponsored or endorsed or administered by that site or channel. You release the site or channel from all liability arising in respect of Business Directory, to the extent permitted by law.

8 General

8.1 If you don’t comply with these Terms, your Listing may be removed or rejected.

8.2 We may suspend Business Directory at any time if an unforeseen incident occurs, which affects, or has the potential to affect, the safety or integrity of Business Directory, or if Business Directory is otherwise not able to be run as planned (including computer virus, communications network failure, bugs, tampering, unauthorised intervention, fraud, or other technical failure). We reserve the right to change these Terms, or otherwise modify Business Directory, at any time without prior notice in our sole discretion.

8.3 These Terms are governed by the laws of Victoria. If any of these Terms are or become invalid, at our option, the relevant part is severed, & doesn’t affect the validity of the remaining parts. Neither of us, nor you, is (nor can you represent yourself to be) an employee, partner, agent or other representative of the other. A waiver must be in writing & signed. We don’t waive a right if we fail to or delay exercising it. References to time are to the time in Melbourne. References to the singular include the plural & vice versa.

8.4 We accept no responsibility for the success or failure of Listings featured on Business Directory.

8.5 We reserve the right to validate & check the authenticity of your details (including an identity & age). If you cannot provide suitable proof to validate your Listing, it will be removed or rejected. We’re not responsible for technical difficulties with Business Directory & we can’t guarantee that Business Directory will be available at all times.

8.6 Listing submissions are deemed to be received at the time of receipt by RMIT & not at the time of transmission or deposit by the alumni. Records of RMIT & its agencies are final & conclusive as to the time of receipt. Once submitted, Listings can be altered or deleted by contacting us.

8.7 We may reject or remove a Listing from any alumni whose Listing or actions are not in accordance with these Terms or who we have reason to believe has breached any of these Terms or has engaged in any unlawful or other improper misconduct.
